Intro
We are going to talk about the movie “The Social Network” by David Fincher which tells the story of the creation of Facebook.
We chose this movie because it has a lot of business law in it, with a lot of conflicts about intellectual property. Also we can see the role of lawyer, with a lot of scenes of discussion between the lawyers of each part.
The Social Network is one of the rare films to focus on the internet and not make a simple allusion to it. It is a very popular movie because it is believable and because it demonstrates that with a simple computer and a bit of genius, anything is still possible.
Dilution occurs when a company issues new stock that results in a decrease in the ownership percentage of existing shareholders of that company. As a founder, you may need to finance your growth by raising funds from investors.
However, the film does not excessively multiply the points of view and the whole remains very readable. Its originality is due to the duality of the procedures and the particularity of the debate staged. The space for legal confrontation is not the courtroom. We understand from the beginning that the real trial will not take place. Moreover, from a legal point of view, the nature of the proceedings in progress does not appear clear to a non-familiar with the American procedure. In the Winklevoss trial, the proceeding was effectively initiated. Depositions take place under oath and are accurately transcribed. In the trial betweenZuckerberg and Eduardo Saverin, the legal form is less present. This also gives a greater strength to the scenes relating to the opposition of the two former friends and associates. Mark Zuckerberg has obviously never experienced only contempt for the Wincklevoss twins when it can be thought that there was a form of friendship between Zuckerberg and Saverin. In both cases, the confrontation, more or less formal depending on the case in question, is more about negotiation than the preparation of a judgement. The two disputes have also given rise to transactions whose terms are not precisely known. Ultimately, The social network renews the short room drama in an interesting way by leaving the procedural framework that largely characterised the genre.
